Terms of Service

These Terms of Service ("Terms") govern your access to and use of the FoxRadar360 website, platform, and Managed SOC services ("Services") operated by FoxRadar360 ("we", "us", "our"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please discontinue use immediately.

1. Acceptance of Terms

By using our Services, you confirm that you are at least 18 years old, have the legal authority to enter into these Terms (on behalf of yourself or your organization), and agree to comply with all applicable laws and regulations.

2. Description of Services

FoxRadar360 provides AI-driven Managed Security Operations Center (SOC) services, including but not limited to:

• 24/7 real-time threat monitoring and detection.
• SIEM and SOAR-powered security automation.
• Incident response and threat intelligence.
• Vulnerability management and compliance reporting.
• Cloud and endpoint security monitoring.

Service availability, features, and inclusions are defined in your respective Service Agreement or Statement of Work (SOW).

3. Account Registration & Security

To access certain features, you must register for an account. You agree to:

• Provide accurate, complete, and up-to-date information.
• Maintain the confidentiality of your login credentials.
• Notify FoxRadar360 immediately at legal@foxradar360.com if you suspect unauthorized account access.
• Accept responsibility for all activity conducted under your account.

FoxRadar360 reserves the right to suspend or terminate accounts that violate these Terms or compromise platform security.

4. Acceptable Use

You agree NOT to use our Services to:

• Violate any applicable local, national, or international law or regulation.
• Transmit any unauthorized, harmful, or malicious data or code.
• Attempt to gain unauthorized access to any system, network, or account.
• Reverse engineer, decompile, or extract source code from our platform.
• Use our Services to facilitate illegal surveillance or unauthorized monitoring.
• Circumvent security controls or exploit vulnerabilities in our platform.

FoxRadar360 reserves the right to investigate and, where necessary, suspend or terminate access for any violations.

5. Intellectual Property

All content, trademarks, software, algorithms, platform features, and materials made available through FoxRadar360's Services are the exclusive intellectual property of FoxRadar360 or its licensors. You are granted a limited, non-exclusive, non-transferable license to use our Services as described herein.

You may not copy, modify, distribute, sell, or sublicense any part of our Services or platform without prior written consent.

6. Client Data & Confidentiality

You retain full ownership of data you provide to FoxRadar360 as part of service delivery ("Client Data"). FoxRadar360 processes Client Data solely for the purpose of delivering agreed services and maintains strict confidentiality obligations. Client Data is never sold, shared, or used for purposes beyond service delivery without your written consent.

7. Fees & Payment

Fees for Services are set out in your Service Agreement. Unless otherwise agreed:

• All invoices are due within 30 days of issuance.
• Late payments may incur interest at the rate of 1.5% per month or the maximum rate permitted by law.
• FoxRadar360 reserves the right to suspend Services for overdue accounts after reasonable notice.
• Fees are non-refundable except as expressly stated in your Service Agreement.

8. Service Availability & SLA

FoxRadar360 targets industry-standard uptime for its platform. Any specific service level commitments (SLAs), including response times and uptime guarantees, are defined in the individual Service Agreement signed between you and FoxRadar360. Planned maintenance windows will be communicated in advance.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, FOXRADAR360 DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FOXRADAR360 SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE OUR SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold FoxRadar360, its directors, officers, employees, and partners harmless from any claims, liabilities, damages, and expenses (including legal fees) arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

12. Termination

Either party may terminate the service relationship as specified in the applicable Service Agreement. Upon termination:

• Your access to the platform will be revoked.
• Client Data will be returned or securely deleted per your instructions within 30 days.
• Outstanding payment obligations remain in effect.

Sections relating to intellectual property, disclaimers, liability, and indemnification survive termination.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of India, without regard to conflict of law principles. Any disputes shall first be subject to good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in Mumbai, India, under applicable arbitration rules.

14. Modifications to Terms

FoxRadar360 reserves the right to update these Terms at any time. We will notify you of material changes via email or a prominent notice on our platform. Continued use of our Services following the effective date of updated Terms constitutes your acceptance.
